These Terms of Service (“Agreement”) are a legally binding agreement between you (Customer or you) and Pulp Strategy Communications Private Limited (CIN: U74140DL2011PTC216407), a company incorporated under the laws of India, operating the NeuroRank platform at https://neurorank.ai (NeuroRank, we, us, or our).

 

By creating an account or accessing our services, you enter into this binding Agreement. If you are acting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

 

If you do not agree to these Terms, do not use the services.

 

1. The Services

1.1 Description of Services

NeuroRank is a brand intelligence and AI visibility platform. The services include a suite of online brand analysis, scoring, and strategic recommendation tools, collectively referred to as the Services. The specific features, tools, and data available to you depend on the subscription plan you have selected. Current features are described on the NeuroRank features page and pricing page at https://neurorank.ai/pricing. NeuroRank is a research and intelligence tool. It is not an advertising platform, a direct search ranking service, or a guarantee of any marketing outcome.

 

1.2 Updates and New Features

We may add, modify, or remove features at any time. We will notify you of material changes that reduce existing functionality. Improvements and additions that do not reduce your current plan’s functionality take effect immediately without specific notice.

 

1.3 Third-Party Services

The platform may integrate with or link to third-party services. These are governed by their own terms and privacy policies. NeuroRank is not responsible for the content, functionality, availability, or data practices of third-party services.

 

1.4 API Access

A NeuroRank API is not currently available. API access is planned for a future release. When launched, API usage will be governed by these Terms and the NeuroRank API Terms of Service (Policy 8 of this document), which will be activated at that time.

 

1.5 Beta Features

We may offer access to new functionality in beta. Beta features are confidential. You agree not to disclose information about beta features to third parties. Beta features may be withdrawn at any time without notice and are provided without warranty, support commitments, or SLA obligations.

 

1.6 Usage Data

You understand and agree that we may monitor your use of the services, and that we may use information gathered in an aggregated and anonymised manner to improve the services and publish benchmarks. Such data will not identify you individually.

 

1.7 Sensitive Information

The services have not been designed to process sensitive personal information (including protected health information, financial account numbers, government-issued ID numbers, biometric data, or special categories of data under applicable data protection law). You agree not to use the services to collect, manage, or process sensitive information. NeuroRank expressly disclaims all liability that may result from your use of the services to process sensitive information.

 

2. Accounts

• You must be at least 18 years old to create an account.
• Each set of login credentials is for one individual user only. You may not share your login credentials with any other person. Using a single login for multiple users is a material breach of this Agreement.
• If NeuroRank detects concurrent or repeated access to the same account from multiple users, devices, or locations in a manner inconsistent with individual use, we may suspend or terminate the account immediately at our sole discretion.
• You are responsible for all activity that occurs under your account.
• You are responsible for maintaining the security of your credentials. Notify us immediately at https://neurorank.ai/contact if you suspect unauthorised access.
• You must provide accurate and current account information at all times, including a valid email address and current billing details.

3. Subscriptions, Credits, Billing, and Cancellation

3.1 Subscription Plans

NeuroRank is a subscription-based platform. Plans and pricing are at https://neurorank.ai/pricing. All prices are in the currency displayed at checkout and are exclusive of applicable taxes unless otherwise stated.

 

3.2 Monthly Subscriptions

Monthly subscriptions are billed in advance on a recurring monthly basis. By subscribing you authorise NeuroRank to charge your payment method on each monthly billing date. It is your sole responsibility to ensure your payment method is active, valid, and has sufficient funds. NeuroRank is not responsible for service interruptions caused by payment failures resulting from an outdated or inactive payment method. If payment fails, we will notify you and may suspend your account until payment is processed successfully.

 

3.3 Annual Subscriptions

Annual subscriptions are billed in full in advance for a twelve-month term. Annual pricing reflects a discount versus the equivalent monthly rate. The applicable discount is displayed at the time of purchase.

 

3.4 Credit-Based Services

Certain features within NeuroRank operate on a credit basis, separate from your subscription. You are solely responsible for purchasing and maintaining sufficient credits. Credits do not expire unless otherwise stated at the time of purchase. You may purchase additional credits at any time through your account. NeuroRank is not responsible for inability to use credit-based features resulting from insufficient credits.

 

3.5 Taxes

All fees are exclusive of applicable taxes including GST in India, VAT, sales tax, or equivalent taxes in other jurisdictions. You are responsible for all applicable taxes. Where NeuroRank is legally required to collect tax, it will be added to your invoice. If you are subject to withholding tax, you must pay us an additional amount so that we receive payment in full as if no withholding applied.

 

3.6 Late Payment

For enterprise or invoice-based billing arrangements, invoices are due within 30 days of issue unless otherwise agreed in writing. We reserve the right to charge interest at 18% per annum (or the maximum permitted under applicable Indian law, whichever is lower) on overdue amounts, calculated from the due date. We may suspend or terminate services for non-payment.

 

3.7 Auto-Renewal and Cancellation

Subscriptions auto-renew unless cancelled before the renewal date. You may cancel at any time through your account settings. NeuroRank will send a renewal reminder by email before each annual renewal date. Cancellation of a monthly plan takes effect at the end of the current billing month. Cancellation of an annual plan is subject to the refund terms in Policy 6.

 

3.8 Price Changes

We will give you at least 30 days’ written notice of any price increase. If you do not accept the new price, you may cancel before the change takes effect. For annual plans mid-term at the time of a price change, the new price applies at your next renewal.

 

4. Acceptable Use

You agree not to use the services to:

• Violate any applicable law, regulation, or third-party right
• Share your login credentials with other individuals or permit multiple users to access the platform under a single account
• Scrape, extract, or systematically download data from the platform in excess of your plan’s permitted limits
• Reverse-engineer, decompile, or attempt to reconstruct NeuroRank’s scoring algorithm or proprietary methodology
• Submit false or misleading brand or competitor data with intent to manipulate scoring outputs
• Use the services to harm, harass, defame, or surveil any individual or organisation
• Resell, sublicense, or white-label the services without a written reseller agreement
• Introduce malware, viruses, or any code designed to disrupt or damage our systems
• Build a competing product that replicates NeuroRank functionality using data or insights derived from the platform
• Use the services in violation of applicable export or sanctions laws

Violation of this section may result in immediate account suspension or termination without refund and may be referred to relevant authorities.

 

5. Intellectual Property

5.1 NeuroRank IP

NeuroRank is a registered trademark of Pulp Strategy Communications Private Limited. All rights, title, and interest in and to the NeuroRank platform, N1-N7 scoring methodology and framework, NeuroRank Score, brand name, visual identity, software, algorithms, code, databases, documentation, reports, and all associated intellectual property (whether registered or unregistered, and whether subsisting anywhere in the world) are and will remain the sole and exclusive property of Pulp Strategy Communications Private Limited.

 

No licence, right, or interest in any NeuroRank intellectual property is granted to you except the limited right to use the services as set out in this Agreement. You must not use the NeuroRank name, trademark, or any confusingly similar mark without prior written consent.

 

Any attempt to copy, reproduce, replicate, reverse-engineer, or create derivative works based on any part of the NeuroRank platform, scoring framework, or proprietary methodology constitutes a material breach of this Agreement and an infringement of our intellectual property rights. We reserve the right to seek injunctive relief, damages, account of profits, and any other remedy available under Indian law or the law of any other jurisdiction, without limitation and without the need to prove actual damage.

 

5.2 Your Content

You retain ownership of all data, brand information, and content you input into the platform. By submitting your content, you grant NeuroRank a limited, non-exclusive, royalty-free licence to process and use your content solely to provide the services to you.

 

5.3 Aggregate and Derived Data

NeuroRank may use anonymised, aggregated data derived from platform usage (with all identifying information removed) to improve scoring models, publish benchmarks, and develop features. This does not include your account details, specific brand inputs, or any identifiable information.

 

5.4 Feedback

If you provide feedback or suggestions about the platform, you agree that all such feedback is non-confidential and NeuroRank may use it freely without obligation or attribution to you.

 

5.5 Proprietary Notices

You must not remove, alter, or obscure any copyright, trademark, or other proprietary notices on the platform or in any content generated by or accessed through the platform.

 

6. Disclaimers

THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEURORANK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL (A) MEET YOUR REQUIREMENTS; (B) BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; (C) BE APPROPRIATE FOR USE IN ALL LOCATIONS; OR (D) BE ACCURATE, RELIABLE, FREE OF HARMFUL CODE, COMPLETE, LEGAL, OR SAFE.

 

NeuroRank provides brand intelligence scores, AI visibility analysis, and strategic recommendations. These are analytical tools and indicators only. They do not constitute legal, financial, SEO, marketing, or any other professional advice.

 

NeuroRank recommendations are generated through data research, search analysis, competitive analysis, and platform data. They are not tailored to your individual business circumstances, financial position, or risk profile. It is your sole responsibility to review, evaluate, and decide whether to implement any recommendation, based on your own professional judgment, experience, and market knowledge. NeuroRank accepts no responsibility or liability for any outcome resulting from actions taken or not taken based on platform recommendations.

 

NeuroRank does not guarantee, and expressly disclaims, any specific outcome from use of the platform including: improvements in search engine rankings; increases in AI citation rates or AI visibility; revenue growth; lead generation improvements; or any other business or marketing outcome.

 

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEURORANK’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO NEURORANK IN THE 12 MONTHS PRECEDING THE CLAIM.

 

IN NO EVENT WILL NEURORANK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

Nothing in these Terms limits liability that cannot be excluded under applicable Indian law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

 

Any cause of action arising out of these Terms or use of the services must be commenced within one year after the claim first arises. After that period, any such claim is permanently barred.

 

8. Indemnification

You agree to indemnify, defend, and hold harmless NeuroRank, Pulp Strategy Communications Private Limited, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the services; (b) your violation of this Agreement; (c) your violation of any third-party right; or (d) any content or data you submit to the platform.

 

9. Confidentiality

Each party may receive confidential information of the other in connection with the platform. You agree not to disclose any NeuroRank proprietary information, pricing, methodology, or platform features designated as confidential to any third party. NeuroRank agrees to handle your account data in accordance with our Privacy Policy. Confidentiality obligations survive termination of this Agreement.

 

10. Force Majeure

NeuroRank shall not be liable for failure or delay in performance caused by circumstances beyond our reasonable control, including: third-party infrastructure failures, telecommunications failures, governmental action, natural disasters, cyberattacks, ransomware incidents, internet disruptions, pandemic, or any other event beyond our reasonable control.

 

11. Term and Termination

This Agreement begins when you first access the platform and continues until terminated. Either party may terminate. NeuroRank may suspend or terminate your account immediately on material breach, including sharing of login credentials, violation of our IP rights, submission of sensitive information, non-payment, or conduct that may harm NeuroRank or other users.

 

On termination, your right to access the services ceases immediately. We will retain your data in accordance with our Privacy Policy and delete it upon a valid request. The following sections survive termination: Section 5 (IP), Section 6 (Disclaimers), Section 7 (Limitation of Liability), Section 8 (Indemnification), Section 9 (Confidentiality), and Section 12 (Governing Law).

 

12. Governing Law and Disputes

This Agreement is governed by the laws of India. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

 

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for at least 30 days. If unresolved, disputes may be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India), with a sole arbitrator appointed by mutual agreement. Seat: New Delhi. Language: English.

 

13. General

• Entire Agreement: These Terms, together with all policies referenced herein, constitute the entire agreement between you and NeuroRank.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• No Waiver: Our failure to enforce any provision does not constitute a waiver.
• Assignment: You may not assign rights under this Agreement without prior written consent. NeuroRank may assign rights to a successor entity with notice to you.
• Language: This Agreement is in English. The English version prevails in any conflict with a translated version.
• Updates: We will provide at least 14 days’ notice of material changes via email or in-platform notification. Continued use after the effective date constitutes acceptance.
